Commercial due diligence: Advisor on an investment in an Irish process company

Our client was considering an investment in a waste technology supplier and commissioned Juniper to provide an independent assessment of the main commercial and technical risks associated with the investment.  Juniper was asked in particular to review the company’s business strategy, commenting on its credibility; provide an assessment of the competitive advantages of the process technology; and assess the process technology’s suitability for certain applications.  Our input led to a re-pricing of the investment to the benefit of our client.  The deal reached financial close.

Juniper rapidly provided a technical due diligence report that analysed the performance of the process, identified certain concerns about the integration of the system and reported on our concerns about the strength of the management team.  As a result our client decided to discontinue discussions with the company.

Juniper carried out a review of the company’s Business Plan; an assessment of the strength of the management team, audited key marketing assumptions and confirmed the soundness of the process by visiting reference installations, analysing key operating performance criteria and assessing environmental risks.

Juniper undertook a due diligence review of a proposed project in Malaysia in the context of providing both equity co-investment in the development company and senior debt project finance to the SPV.  The proponents proposed using plasma gasification coupled to an IGCC energy recovery system - this would be the largest facility of its type in the world.  We reviewed the feasibility study and identified risk factors.
